Terms of Service

1. Acceptance of Terms

By accessing or using X-Pay services through WhatsApp (via Xara, our AI assistant), mobile applications, or any other platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms constitute a legally binding agreement between you and X-Pay Financial Services. We may update these terms from time to time, and continued use of our services constitutes acceptance of any changes.

2. Service Description

2.1 X-Pay Platform

X-Pay is a digital financial services platform that enables users to:

  • Send and receive money domestically and internationally
  • Deposit funds from mobile money providers (MTN, Orange Money)
  • Withdraw funds to mobile money accounts
  • Create and manage virtual cards for online payments
  • Participate in savings groups (Susu)
  • Pay bills and manage financial transactions

2.2 Xara AI Assistant

Xara is our AI-powered financial assistant available on WhatsApp that:

  • Processes transactions through natural language conversations
  • Provides 24/7 customer support and account management
  • Supports multiple languages (English, French, Swahili)
  • Uses secure WhatsApp Flows for sensitive data collection

3. Account Registration

3.1 Eligibility

To use X-Pay services, you must:

  • Be at least 18 years old
  • Have a valid phone number and WhatsApp account
  • Provide accurate and complete information
  • Comply with all applicable laws in your jurisdiction

3.2 Account Security

You are responsible for:

  • PIN Security: Keeping your PIN confidential and secure
  • Device Security: Protecting your phone and WhatsApp account
  • Unauthorized Access: Notifying us immediately of any unauthorized use
  • Account Activity: All transactions made from your account

4. Transaction Rules

4.1 Transaction Limits

Transaction limits vary by country, currency, and payment method. Current limits:

  • Deposits: Minimum 50 LRD, Maximum 500,000 LRD (or equivalent)
  • Withdrawals: Minimum 100 LRD, Maximum 500,000 LRD (or equivalent)
  • Transfers: No maximum for X-Pay to X-Pay transfers

4.2 Fees

X-Pay charges fees for certain transactions:

  • Deposits: 1% fee (minimum 10 LRD, maximum 5,000 LRD)
  • Withdrawals: 2% fee (minimum 20 LRD, maximum 10,000 LRD)
  • Internal Transfers: Free between X-Pay users
  • Currency Conversion: Real-time exchange rates with 0.5% spread

4.3 Transaction Processing

  • Transactions are processed in real-time or within 24 hours
  • We reserve the right to decline transactions for security or compliance reasons
  • Failed transactions are refunded within 3-5 business days
  • You must ensure sufficient balance before initiating transactions

5. Prohibited Activities

You may not use X-Pay services to:

  • Engage in illegal activities or money laundering
  • Commit fraud or impersonate others
  • Violate any applicable laws or regulations
  • Harass, abuse, or harm others
  • Reverse engineer or tamper with our systems
  • Use automated tools (bots) without authorization
  • Sell or transfer your account to others

6. Dispute Resolution

6.1 Customer Support

For transaction disputes or issues, contact us via:

  • Response Time: Within 24-48 hours

6.2 Refund Policy

Refunds are issued for:

  • Failed transactions due to system errors
  • Duplicate charges
  • Unauthorized transactions (reported within 30 days)
  • Deposits not credited to your account

7. Service Availability

X-Pay strives to provide uninterrupted service but does not guarantee:

  • 24/7 availability without maintenance windows
  • Error-free operation at all times
  • Compatibility with all devices or networks
  • Continuous availability of third-party providers (MTN, Orange, Stripe)

We are not liable for service interruptions caused by factors outside our control, including but not limited to network issues, provider outages, or force majeure events.

8. Liability and Disclaimers

8.1 Limitation of Liability

X-Pay is not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the amount of the disputed transaction
  • Third-party service provider errors or delays

8.2 User Responsibility

You acknowledge that financial transactions carry inherent risks and agree to use X-Pay services at your own risk. You are responsible for verifying transaction details before confirmation.

9. Account Termination

9.1 By User

You may close your account at any time by:

  • Contacting support at xara@xpay-bits.com
  • Messaging Xara with "Close Account"
  • Following the data deletion instructions at xpay-bits.com/data-deletion

9.2 By X-Pay

We reserve the right to suspend or terminate accounts for:

  • Violation of these Terms of Service
  • Suspected fraudulent or illegal activity
  • Non-compliance with regulatory requirements
  • Extended periods of inactivity (12+ months)

10. Governing Law

These Terms of Service are governed by the laws of Liberia. Any disputes arising from these terms or your use of X-Pay services shall be resolved in the courts of Liberia. For international users, local consumer protection laws may also apply.
